Terms of Service

The terms governing your access to and use of EditionFlow, the Google Workspace add-on operated by Pent-AI-Efficient Solutions LLC. Reading these is worth ~10 minutes. By using EditionFlow you agree to them.

01Service description

EditionFlow is a Google Workspace add-on for creating and sending email newsletters. The Service consists of:

1. The EditionFlow Apps Script Library, which executes inside your own Google Workspace under your Google identity and the OAuth scopes you grant
2. A web app interface served from editionflow.app
3. A license-server backend that validates your subscription state

02Eligibility & accounts

To use EditionFlow you must:

• Be at least 18 years old, or the legal age of majority in your jurisdiction, or use the Service under the supervision of a parent or guardian who agrees to be bound by these Terms
• Have a valid Google Workspace or Gmail account (the Service runs as an Apps Script add-on under your Google identity)
• Provide accurate billing information when starting a subscription
• Not be located in a jurisdiction subject to a comprehensive embargo by the United States or otherwise prohibited from receiving the Service under applicable export-control laws

03Subscription & billing

3.1 Plans

Prices may change. For existing subscribers, we will provide at least 30 days' notice via email of any price change; you may cancel before the new price takes effect.

3.2 Auto-renewal

All subscriptions renew automatically at the end of each billing period at the then-current price. You authorize us, through Stripe, to charge the payment method you provided. You may turn off auto-renewal at any time through the Customer Portal.

3.3 Promotion codes and coupons

We may offer promotional discounts at our discretion. Coupons are governed by their individual terms (e.g. duration, cap on redemptions, eligibility). Coupons are not redeemable for cash. We reserve the right to revoke coupons obtained in violation of their terms.

3.4 Taxes

Prices are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, except for taxes based on our net income.

3.5 Failed payments

If a payment fails, we will retry the charge per Stripe's standard schedule (typically 3 retries over 1–2 weeks). If payment cannot be collected, your subscription will be suspended and your license keys deactivated. Your Apps Script project and Sheet continue to function indefinitely — only the licensed AI-assisted features stop.

04Free trial

New subscribers receive a 14-day free trial. A valid payment method is required at signup. If you do not cancel before the trial ends, your first billing cycle begins automatically and you will be charged the applicable subscription fee.

You may cancel anytime during the trial in the Customer Portal or by emailing support@editionflow.app. Cancellations during the trial result in no charge.

05Cancellation & refunds

5.1 Cancellation

You may cancel your subscription anytime through the Customer Portal (linked from your EditionFlow Settings page) or by emailing support@editionflow.app. Cancellation takes effect at the end of your current billing period.

5.2 Refunds

• Monthly subscriptions. Not prorated. You retain access through the end of the paid period.
• Yearly subscriptions. Prorated refunds available on request within 30 days of cancellation. Email billing@editionflow.app.
• Trial period. No charge applies if cancelled before day 14.
• Coupons and promo codes. Refunds are calculated based on the amount actually paid, not the list price.

06License grant

Subject to your compliance with these Terms and timely payment of subscription fees, we grant you a non-exclusive, non-transferable, revocable license to use the EditionFlow Apps Script Library within your own Google Workspace for your internal newsletter-publishing operations.

This license does not include the right to resell, sublicense, or otherwise commercially exploit the Service outside your own newsletter operations.

07Acceptable use

You may not:

• Use EditionFlow to send unsolicited commercial email ("spam") or to violate the CAN-SPAM Act, CASL, GDPR, or any other anti-spam law
• Use EditionFlow to send harmful, illegal, infringing, deceptive, or abusive content
• Resell, sublicense, or otherwise commercially exploit the Service outside your own newsletter operations
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract source code from the Service
• Circumvent the license-validation system or use a license key beyond the scope of your subscription
• Use EditionFlow to generate content that infringes on the intellectual property or privacy rights of others
• Use EditionFlow to send content depicting minors in unsafe contexts, sexually explicit content involving children, or material that violates child-protection laws
• Use EditionFlow to send content that promotes terrorism, mass violence, or hate against protected groups
• Knowingly upload or generate malware, scripts, or other content designed to interfere with the Service or your recipients' systems

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without prior notice depending on the severity of the violation.

08Intellectual property

8.1 EditionFlow IP

We retain all rights, title, and interest in the EditionFlow Service, including the Library code, the web app, the EditionFlow name and logo, and all related documentation. Nothing in these Terms transfers ownership of any of the foregoing to you.

8.2 Your content

You retain all rights to your content. Because EditionFlow's architecture means we never receive your content in the first place, this is enforced by code, not just by license terms.

8.3 AI-generated content

EditionFlow integrates with Google's Gemini API under your own API key. Ownership and licensing of AI-generated output is governed by Google's Gemini API terms; we make no claim to your AI-generated content.

09Privacy

Our Privacy Policy describes how we handle data. By using the Service you consent to its terms, which are incorporated into these Terms by reference.

10Third-party services

EditionFlow depends on third-party services we don't control:

• Stripe for payment processing
• Resend for transactional email delivery
• Cloudflare for hosting
• Google Apps Script and Google Workspace as the runtime environment
• Google Gemini API for AI-assisted features (under your own API key)

We are not responsible for outages, billing changes, policy changes, or other actions taken by these providers. Use of the Service may be affected by changes to these providers' services that are outside our control.

11Service availability & modifications

We strive to maintain high availability but do not guarantee uninterrupted service. We may add, modify, or remove features at any time. Material removals will be announced via email to active subscribers at least 30 days in advance.

We may perform scheduled maintenance, which may temporarily affect availability. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance.

12Disclaimer of warranties

13Limitation of liability

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full.

14Indemnification

You agree to indemnify, defend, and hold harmless EditionFlow, its affiliates, and its principals from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of:

• Your violation of these Terms
• Your misuse of the Service
• The content you transmit through the Service
• Your violation of any third party's rights, including intellectual property, privacy, or publicity rights

15Termination

15.1 By you

You may terminate by cancelling your subscription as described in Section 5.

15.2 By us

We may suspend or terminate your account for material violation of these Terms, including but not limited to non-payment, abuse, or unlawful use of the Service. We will provide notice of termination by email except in cases of egregious abuse or where required to act immediately under applicable law.

15.3 Effect of termination

On termination, your right to use the Service ends. Your Google Apps Script project, your Sheet, and all the content you generated in your own Workspace remain intact under your control; only the licensed AI-assisted features stop functioning.

Sections that by their nature should survive termination — including ownership, indemnification, limitation of liability, and governing law — will survive.

16Governing law & disputes

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction of those courts.

Before initiating any formal legal proceeding, we ask that you contact us at legal@editionflow.app so we can attempt to resolve the dispute informally.

17Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email to active subscribers at least 30 days before they take effect, and the "Last updated" date at the top of this page will be revised. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should cancel your subscription before they take effect.

18Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EditionFlow regarding the Service and supersede any prior agreements. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
